Welcome to Prompt.law, a platform operated by Visalaw Ventures, LLC ("Visalaw," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Prompt.law website, services, and related content (collectively, the "Services"). Prompt.law provides a legal technology platform for generating, sharing, and utilizing AI-generated legal prompts. Our Services allow users to:

Browse and search legal AI prompts.
Upload and contribute AI-generated legal prompts.
Customize and save legal prompts for personal use.

2.1. Definitions

"Platform" refers to Prompt.law and all associated services
"Prompt" refers to any AI instruction set or template submitted to the Platform
"User" refers to any individual or entity accessing or using the Platform
"Contributor" refers to Users who submit Prompts to the Platform
"Content" refers to Prompts, reviews, comments, and any other material submitted to the Platform

3. User Accounts & Registration

3.1. Account Creation

To access our features, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials. You accept responsibility for all activities under your account and you promptly update any changes to your information.

3.2. Eligibility

You must be a licensed legal professional or working under the supervision of one to submit Prompts to the Platform.

3.3. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in unauthorized activities.

4. User Responsibilities

By using the Services, you agree to:

Use the Services in compliance with applicable laws and ethical guidelines.
Not engage in any activity that disrupts the functionality of the platform.
Not upload or share any illegal, defamatory, or infringing content.
Acknowledge that AI-generated outputs must be reviewed by legal professionals before use.

5. 5. Intellectual Property

By submitting prompts or other content to Prompt.law ("User Content"), you agree that:

You grant Prompt.law a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to use, reproduce, display, distribute, and create derivative works from your User Content in any manner.
You waive, and you agree not to assert, any intellectual property or moral rights claims against Prompt.law, its users, or affiliates related to your User Content.
You understand that your submitted content may be used by other users without attribution, compensation, or limitation.
You represent that your User Content does not infringe on the intellectual property rights or legal rights of others.

You are solely responsible for your User Content. Do not submit confidential, proprietary, or third-party material that you do not have permission to share.

6. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind.
AI-generated content should not be considered legal advice.
We do not guarantee that prompts will be error-free or legally compliant.

7. Limitation of Liability

To the fullest extent permitted by law, Visalaw shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

8. Termination & Suspension

We may suspend or terminate your access to the Services if you violate these Terms or engage in conduct that we determine to be harmful.

9. Modifications to the Terms

We reserve the right to update these Terms. Users will be notified of significant changes, and continued use of the Services constitutes acceptance of the updated Terms.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Shelby County, Tennessee, unless otherwise required by law.
